## MAP Policy

**MINIMUM ADVERTISED PRICING POLICY**

This Minimum Advertised Price ("MAP") Policy of Serenity Kids, LLC, is effective as of October 1, 2022 and applies to all sales of all products of the Company in the United States.

### 1. Scope.

(a) This MAP Policy applies to all advertisements of the Products in any and all media including, but not limited to, flyers, posters, emails, newsletters, and similar electronic media.

(b) This MAP Policy applies to the advertised price of a Product before shipping or additional charges.

### 2. Pricing.

(a) The Company’s MAP for each of the Products is listed in the Price List. It may be amended at any time by the Company.

(b) The Company does not establish any maximum advertised prices.

(c) Resellers are required to list prices in all advertising. Statements like "call for price" are unacceptable.

### 3. Restrictions.

(a) The following are contrary to this MAP Policy:

(i) Discounting the advertised price below the MAP.

(ii) Aggregating product and shipping prices to satisfy this MAP Policy.

(iii) Any advertisement that implies having the lowest prices when below MAP.

### 4. Monitoring and Enforcement.

(a) The Company may utilize various technologies to monitor pricing across the Internet.

(b) Failure to abide by this MAP Policy may result in suspension or termination of sales to resellers found to be in violation.

### 5. Resolution.

(a) Violations must be corrected within 24 hours of notification from the Company.

(i) First Violation: Temporary suspension with a warning.

(ii) Second Violation: Suspension for 90 days.

(iii) Third Violation: Possible permanent termination of sales.

### 6. Discretion and Authority.

(a) The Company’s enforcement of this MAP Policy is at its discretion.

### 7. Confidentiality.

The terms of this MAP Policy are confidential and should not be disclosed to other parties.

### Acknowledgment of Receipt of MAP Policy by Reseller or Distributor

To encourage competition for the sale of the Products, Serenity Kids, LLC has adopted this MAP Policy. This MAP Policy is a unilateral policy stating the terms under which the Company may refuse to do business with distributors and resellers.
